General Conditions
These General Conditions govern the engagement of independent service providers by Propevo for the performance of property-related services in Switzerland.
1. Scope and Acceptance
These General Conditions ("Conditions") govern the relationship between Propevo and any independent contractor, craftsperson, or service company ("Provider") engaged to perform services on properties managed by Propevo or its clients. Acceptance of an assignment issued by Propevo constitutes acceptance of these Conditions, which prevail over any conflicting terms of the Provider unless expressly accepted in writing by Propevo.
2. Independent Status of the Provider
The Provider acts at all times as an independent contractor. Nothing in these Conditions creates an employment relationship, agency, partnership, or joint venture between Propevo and the Provider. The Provider is solely responsible for the social-security contributions, withholding taxes, insurance coverage, and compliance with applicable Swiss employment and social-insurance law for any personnel engaged in the performance of services.
3. Professional Qualifications and Compliance
The Provider warrants that it holds all professional licences, registrations, and authorisations required under Swiss federal and cantonal law to perform the services offered. The Provider shall maintain in force, throughout the duration of any assignment:
- Professional liability insurance covering damage caused to property and to third parties.
- Mandatory accident insurance for personnel under the Swiss Federal Act on Accident Insurance (LAA / UVG).
- Where applicable, vehicle, equipment, and tool insurance.
- Registration with the relevant Swiss social-security authorities (AVS / AHV).
Certificates evidencing the above shall be provided to Propevo on request and updated without delay upon renewal or modification.
4. Onboarding and Provider Information
Before engagement, the Provider shall supply Propevo with current information regarding its company registration, VAT identification number where applicable, insurance certificates, professional certifications, contact details of authorised representatives, and bank details for payment. The Provider undertakes to keep this information up to date and to notify Propevo without delay of any material change.
5. Quotations and Formation of Assignments
Propevo, or where authorised the property owner directly, may request quotations or issue assignments through Propevo's communication channels. A quotation issued by the Provider is binding for thirty (30) days from the date of issue, unless a different validity period is stated. An assignment is formed when Propevo confirms acceptance of a quotation in writing, including by email or through Propevo's digital tools.
For minor recurring or urgent interventions, an assignment may be formed by direct work order without prior quotation, in which case the Provider shall apply its standard rates as previously communicated to Propevo.
6. Performance of Services
The Provider shall carry out services with the diligence, skill, and care expected of qualified professionals in its trade. Services shall comply with applicable Swiss technical standards, in particular the relevant SIA norms, with safety and building regulations, and with any specific instructions communicated by Propevo or the property owner. Materials supplied shall be of professional quality and, unless otherwise agreed, new.
7. Scheduling and Access to Properties
The Provider shall coordinate scheduling through Propevo and shall respect agreed appointment windows with tenants and occupants. Where access to a property is required, the Provider must follow Propevo's access procedures and treat all keys, access codes, and credentials as strictly confidential. Loss or compromise of any access credential must be reported to Propevo immediately.
The Provider shall behave on site in a manner consistent with respect for the occupants and the property, leave the worksite clean at the end of each intervention, and notify Propevo of any unforeseen condition discovered during the work that may affect the scope, cost, or safety of the assignment.
8. Subcontracting
The Provider may not subcontract any part of an assignment without Propevo's prior written consent. Where subcontracting is permitted, the Provider remains fully responsible for the acts and omissions of its subcontractors and shall ensure that subcontractors comply with these Conditions and hold equivalent insurance and qualifications.
9. Pricing and Invoicing
Prices are those set out in the accepted quotation or work order, expressed in Swiss francs (CHF) and exclusive of VAT unless stated otherwise. Invoices shall be addressed to the entity designated by Propevo (Propevo, the property owner, or another designated payer) and shall include a clear reference to the assignment, the address of the property concerned, the date of service, and an itemised breakdown of labour, materials, and any travel or disposal costs.
Invoices that do not meet these requirements may be returned for correction, in which case the payment term restarts upon receipt of the corrected invoice.
10. Payment Terms
Invoices issued in accordance with these Conditions are payable within thirty (30) days of receipt by the designated payer, unless a different term has been agreed in writing. Where the property owner is the contractual debtor of the invoice, Propevo acts solely as a coordinating intermediary and is not liable for amounts owed by the owner. Propevo will, however, use reasonable efforts to facilitate timely payment.
11. Warranty and Defects
The Provider warrants the conformity of the work performed and the materials supplied for the warranty period required under Swiss law and, where applicable, the relevant SIA norm. Defects shall be notified to the Provider within a reasonable time of discovery. The Provider shall remedy notified defects without delay and at no additional cost. Failing prompt remedy, Propevo may, after a reasonable additional period, arrange for the defect to be remedied by a third party at the Provider's expense.
12. Liability and Indemnification
The Provider is liable, in accordance with Swiss law, for damage caused to the property, to tenants, to occupants, or to third parties as a result of its performance of services or the conduct of its personnel and subcontractors. The Provider shall indemnify and hold harmless Propevo and the relevant property owner against any claim, loss, or expense arising from a breach by the Provider of these Conditions, of applicable law, or of professional standards.
13. Health, Safety, and Environment
The Provider shall comply with all applicable health, safety, and environmental regulations on site, including the requirements of SUVA where relevant. The Provider is responsible for the safety of its personnel, for the use of appropriate personal protective equipment, and for the proper segregation and disposal of waste generated by its work in accordance with Swiss environmental law.
14. Confidentiality
The Provider undertakes to treat as strictly confidential all information regarding properties, tenants, owners, occupants, and Propevo's business that becomes known to it in the course of an assignment. This obligation continues after the termination of the working relationship and applies equally to the Provider's personnel and subcontractors.
15. Data Protection
Personal data received from Propevo or from a property owner shall be processed by the Provider solely for the purposes of executing the assignment, in accordance with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR). The Provider shall not retain such personal data beyond what is necessary for the assignment and applicable legal obligations and shall not disclose it to third parties without prior authorisation.
16. Use of Digital Tools
Propevo coordinates assignments through digital tools, including AI-assisted messaging and scheduling. The Provider acknowledges that operational communications exchanged with Propevo may be processed through such tools, and consents to this use for the purpose of coordinating services. Personal data submitted by the Provider through these channels is processed in accordance with Propevo's Privacy Policy.
17. Anti-Corruption and Integrity
The Provider undertakes to comply with all applicable anti-corruption laws. The Provider shall not offer, give, request, or accept any improper advantage in connection with services performed for Propevo or for property owners managed by Propevo. Any breach of this obligation entitles Propevo to terminate the working relationship with immediate effect.
18. Conflicts of Interest
The Provider shall disclose to Propevo, without delay, any actual or potential conflict of interest, including any personal or financial relationship with a tenant, owner, or other party involved in an assignment, that could reasonably affect the Provider's impartiality or the proper performance of the assignment.
19. Suspension and Termination
Propevo may suspend or terminate any assignment with immediate effect in the event of a material breach of these Conditions, including failure to maintain required insurance or licences, repeated quality failures, breach of confidentiality, breach of data-protection obligations, or breach of anti-corruption obligations. Either party may terminate the overall working relationship at any time by written notice, without prejudice to ongoing assignments and to claims arising from prior breach.
20. Intellectual Property
Reports, plans, drawings, photographs, and other documents produced by the Provider in the course of an assignment may be used by Propevo and by the relevant property owner for purposes related to the management of the property, including documentation, archiving, regulatory filings, and onward transmission to authorised parties. The Provider grants Propevo a non-exclusive, royalty-free licence to that effect.
21. Force Majeure
Neither party is liable for delay or failure to perform caused by circumstances reasonably beyond its control, including natural events, orders of public authorities, and disruption of essential infrastructure. The affected party shall notify the other without delay and use reasonable efforts to mitigate the consequences.
22. Modifications
Propevo may amend these Conditions from time to time. The most recent version is published on propevo.com and applies to assignments accepted after the date of publication. Material changes will be communicated to active Providers in advance.
23. Severability
If any provision of these Conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
24. Applicable Law and Jurisdiction
These Conditions are governed by Swiss law, to the exclusion of conflict-of-laws rules and of the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or in connection with these Conditions shall be subject to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland, subject to any mandatory provision of Swiss law providing otherwise.
