Terms and Conditions

1. The Program

Propevo SA, Rue de la Madeleine 13, 1204 Geneva, Switzerland ("Propevo") operates a referral program for property owners (the "Program"). When an existing client introduces a new owner, and that owner signs a property management contract with Propevo, both receive a discount on Propevo's base management fees under these terms (the "Terms").

2. Acceptance and Current Version

Participation in the Program is voluntary. By submitting a referral, naming a referrer when contacting Propevo, or receiving a Discount, you accept the version of these Terms in force at that time. The current version is always published at propevo.com/referral-terms; the date of the latest update appears at the end of this page. A referral is governed by the version in force when it is submitted, provided the Referred Owner signs their Management Contract within twelve (12) months of the referral; otherwise the version in force at signing governs. Where a later version is more favourable to a participant, Propevo applies the later version.

3. Definitions

  • "Referrer": an owner with a Management Contract in force with Propevo who introduces a Referred Owner.
  • "Referred Owner": a person or entity that signs a Management Contract with Propevo following a referral meeting the conditions of these Terms.
  • "Management Contract": a property management contract (contrat de gérance immobilière) between Propevo and an owner, including its automatic renewals. Where an owner has several management contracts with Propevo, references to their Management Contract mean the contract covering the property concerned.
  • "Base Management Fees": the base management fee defined in the Management Contract, calculated as a percentage of collections. All other fee categories (re-letting, works, insurance claims, ancillary-cost accounting, separately billed services) and third-party costs are excluded.
  • "Discount": the reduction described in section 6.

4. Who Can Take Part

The Referrer must have a Management Contract with Propevo, signed before the Referred Owner's first contact with Propevo and still in force when the Referred Owner signs. The following do not qualify as referrals: referring yourself, including through a company or other entity you control or that controls you; referrals by Propevo employees or members of their household.

A referral gives rise to a Discount only if the Referred Owner:

  • is not a member of the Referrer's immediate family (spouse or registered partner, children, parents, or siblings), nor an entity in which such a family member, an existing Propevo client, or a person acting in concert with either holds a controlling interest;
  • is not already a Propevo client and has not been in individual commercial discussions with Propevo in the six (6) months before the referral (unanswered marketing outreach from Propevo does not count as commercial contact); and
  • names the Referrer at their first contact with Propevo, or reaches Propevo through the Referrer's personal referral link.

5. How a Referral Works

The Referrer shares their personal referral link with the prospective owner, or the prospective owner names the Referrer at first contact. The referral qualifies when the Referred Owner signs a Management Contract with Propevo and the conditions of section 4 are met. Propevo confirms the qualifying referral and the resulting Discounts to both parties in writing (email is sufficient); a Discount confirmed this way is a "Confirmed Discount".

6. The Discount

The Referrer and the Referred Owner each receive a 10% discount on Base Management Fees. The Discount is shown as a deduction on each fee statement or invoice, at the billing frequency applicable under the Management Contract, and applies to Base Management Fees accruing on collections received after the Referred Owner's Management Contract takes effect. It reduces Base Management Fees only; all other fees, charges, and third-party costs, such as re-letting fees, works and renovation supervision, insurance-claim handling, and ancillary-cost statements, remain unchanged. Where VAT is due, it is calculated on the discounted amount.

7. Which Property the Discount Applies To

For the Referred Owner: the Discount applies to one property. Each Management Contract covers one property, and the Discount attaches to the Management Contract signed following the referral. A Referred Owner who entrusts several properties to Propevo at the same time designates at signing the one contract that carries the Discount; absent a designation, it attaches to the first contract signed. Other properties, including properties entrusted later, do not benefit.

For the Referrer: the Discount applies to one managed property, the one whose annual collections under the contractual rent roll are closest to those of the Referred Owner's discounted property, regardless of property type, measured once at the date the Referred Owner signs. If two properties match equally, the Discount attaches to the one that has been under Propevo's management longest. Each qualifying referral grants a Discount on one property, and a property carries at most one Discount at a time; a further qualifying referral applies to the closest-matching property not already carrying a Discount, and if no eligible property is available the referral does not create a banked or deferred Discount. The Discount is attached to its property: if that property leaves Propevo's management, the Discount ends with it and does not move to another property. The Referrer's Discount is capped: in any invoicing period it does not exceed the Base Management Fees invoiced under the Management Contract carrying the Referred Owner's Discount for the same period, and once the Discount has become unconditional under section 8, the cap continues at the level of the twelve (12) months before that point. There is no limit on the number of referrals.

8. Duration

Each party's Discount runs for the duration of the Management Contract covering the discounted property, including its automatic renewals. One condition applies to the Referrer's Discount: if the Management Contract carrying the Referred Owner's Discount ends within three (3) years of taking effect, the Referrer's Discount ends at the same time, with effect for the future only; discounts already applied are not reclaimed. Once that Management Contract has been in force for three (3) years, the Referrer's Discount becomes unconditional and continues for the remaining duration of the Management Contract covering the discounted property, whatever later happens to the Referred Owner's contract.

9. Limits

The Discount cannot be combined with any other offer, rebate, or reduction. While another offer applies to the same fees, the Discount is suspended and resumes when that offer ends. Individually negotiated fee rates in a Management Contract are not offers for this purpose; the Discount applies to the rate agreed in the Management Contract. The Discount has no cash value, cannot be paid out, exchanged, or transferred, and can only be applied against Base Management Fees actually invoiced.

10. Nature of the Discount

The Discount is a rebate on fees: it only ever reduces fees a participant owes Propevo, and no amount is ever paid, credited, or owed by Propevo to any participant under the Program. It is not remuneration, a commission, or a brokerage fee paid by Propevo to the Referrer. The Referrer acts in a personal capacity, does not represent Propevo, and may not make commitments on Propevo's behalf. Each participant is responsible for the tax treatment of the Discount in their own situation.

11. Fair Use, Refusal, and Suspension

Propevo may refuse a referral, or suspend or end a Discount, for valid reasons: false or misleading information, circumvention of section 4, abuse of the Program (for example mass unsolicited distribution of the referral link, or structuring ownership through companies or other entities to obtain Discounts on properties economically belonging to an existing client), or unlawful conduct in connection with the Program. A running Discount may be suspended or ended only for reasons attributable to the person benefiting from it, or where the referral itself did not meet the conditions of section 4. Any refusal or suspension is communicated to the persons concerned in writing, with reasons.

12. Data Protection

To run the Program, Propevo processes the contact details of the Referrer and the Referred Owner, and information about the properties concerned. A Referrer who gives Propevo a third party's contact details confirms that this person has agreed to be contacted by Propevo about the Program. When Propevo first contacts a referred person, it tells them who provided their details and how to object to further contact. Personal data is processed in accordance with Propevo's Privacy Policy.

13. Changes to and End of the Program

Propevo may amend these Terms or end the Program with effect for the future, on sixty (60) days' written notice. Notice is given by publication on this page and by email to owners with an active Discount. Confirmed Discounts existing before a change takes effect are honoured under the Terms in force when they were confirmed.

14. Relationship to the Management Contract

These Terms do not amend the Management Contract. The Discount is applied to fee statements and invoices issued under the Management Contract; in all other respects the Management Contract remains unchanged. For Management Contracts signed before these Terms took effect that contain their own referral provisions, those provisions prevail for referrals made under them.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect, and the invalid provision is replaced by a valid provision that most closely reflects the original intent.

16. Applicable Law and Jurisdiction

These Terms are governed by Swiss law, to the exclusion of conflict-of-laws rules. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland, subject to any mandatory provision of Swiss law providing otherwise.
